Section 101 (1) of the Companies Act, 2013 provides that a general meeting may be called by giving at least 21 clear days’ notice in writing or through electronic mode in such manner as may be prescribed. ‘Electronic means’ includes any communication sent by a company through its authorized and secured computer program. Capable of producing confirmation and keeping a record of the particular communication addressed to the person entitled to receive such communication at the last electronic mail address provided by the Member.<\/p>\n

Mode of Issuing Notice for General Meeting<\/strong><\/h2>\n

There are various ways of serving notice such as hand delivery, facsimile, post, e-mail, or any other electronic means, and even through courier. In case the articles of the company prescribe the mode by which Notice has to be given, it should be given accordingly. It is noteworthy that the Notice may be sent through e-mail as a text or as an attachment to an email or as a notification. An electronic link or Uniform Resource Locator (URL) should be provided for accessing such Notice. Further, if Notice is sent via e-mail, the subject line should state the following according to Rule 18(3)(ii) of the Companies(Management and Administration) Rules, 2014:<\/p>\n
