Companies (Incorporation) Rules, 2014 which came into effect from 1st April 2014 was framed by the Central Government for <strong><a href=\"https:\/\/companyregistrationonline.in\/private-limited-company-registration\/\">company incorporation<\/a><\/strong>. Rules are prescribing various Forms that are to be used for the incorporation of a Company. <\/span><span style=\"font-size: medium\">With the introduction of Companies Incorporation Fourth Amendment Rules 2016, with effect from 02\/10\/2016, Rule 38 was inserted. It introduced a simplified proforma for incorporating the company electronically (SPICe). The Rule prescribes the following:<\/span><\/p>\n<ul>\n<li>\n<p align=\"justify\"><span style=\"font-size: medium\">Form No. INC \u2013 32<\/span><\/p>\n<\/li>\n<li>\n<p align=\"justify\"><span style=\"font-size: medium\">e Memorandum of Association in Form INC \u2013 33<\/span><\/p>\n<\/li>\n<li>\n<p align=\"justify\"><span style=\"font-size: medium\">e Articles of Association in Form No. INC- 34<\/span><\/p>\n<\/li>\n<\/ul>\n<p align=\"justify\"><span style=\"font-size: medium\">The <a href=\"http:\/\/www.mca.gov.in\/\"><strong>Ministry of Corporate Affairs<\/strong><\/a> made further amendments to the Incorporation Rules and notified Companies (Incorporation) Fifth Amendment Rules, 2016 which became effective from 01\/07\/2017. To make Simplified Proforma for Incorporation of Companies Electronically (SPICe) more effective, the Amendment was introduced by the Ministry in October 2016. The second proviso to Rule 38(1) and Rule 38(2) was inserted. Amendments were made in Rule 9 and 12, to make incorporation easy under the SPICe method. <\/span><\/p>\n<p align=\"justify\">To know more about the process of company incorporation through SPICe read:<strong> <a href=\"https:\/\/companyregistrationonline.in\/blog\/one-day-company-registration-in-india\/\">One Day Company Registration in India<\/a><\/strong><\/p>\n<h2 align=\"justify\"><span style=\"font-size: medium\"><b>Major Highlights for Company Incorporation<\/b><\/span><\/h2>\n<ol>\n<li>\n<p align=\"justify\"><span style=\"font-size: medium\"><strong>Rule 4<\/strong> appl<\/span><span style=\"font-size: medium\">ies<\/span><span style=\"font-size: medium\"> to <strong><a href=\"https:\/\/www.legalraasta.com\/opc-registration\/\">One Person company<\/a><\/strong>, <\/span><span style=\"font-size: medium\">where the subscriber to the memorandum of an OPC shall nominate a person. In events of subscriber\u2019s demise or incapacity to contract, that particular person shall become a member of OPC. Such nomination shall be filed in Form INC \u2013 32 along with nominee\u2019s consent in Form INC- 3. <\/span><\/p>\n<\/li>\n<\/ol>\n<ul>\n<li>\n<h3 align=\"justify\"><strong><span style=\"font-size: medium\">Form INC- 32<\/span><span style=\"font-size: medium\">: <\/span><span style=\"font-size: medium\">S<\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">ingle form for the <\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">following-<\/span><\/span><\/span><\/strong><\/h3>\n<ul>\n<li>\n<p align=\"justify\"><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">R<\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">eservation of name, <\/span><\/span><\/span><\/p>\n<\/li>\n<li>\n<p align=\"justify\"><strong><a href=\"https:\/\/companyregistrationonline.in\/private-limited-company-registration\/\"><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">I<\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">ncorporation of a new company<\/span><\/span><\/span><\/a><\/strong><\/p>\n<\/li>\n<li>\n<p align=\"justify\"><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">A<\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">llotment of\u00a0\u00a0<a href=\"https:\/\/companyregistrationonline.in\/blog\/din-guide\/\">Director&#8217;s Identification Number<\/a><\/span><\/span><\/span><\/p>\n<p align=\"justify\"><span style=\"color: #000000\"> <span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">It is supported by documents such as details of directors and subscribers, <strong><a href=\"https:\/\/companyregistrationonline.in\/blog\/importance-memorandum-association-moa-article-association-aoa-company-registration\/\">MoA and AoA<\/a>,<\/strong> etc.<\/span><\/span><\/span><\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p align=\"justify\"><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"><b>Form INC- 3<\/b><\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"> (non-e-form): N<\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">ominee consent form for a <strong><a href=\"https:\/\/companyregistrationonline.in\/blog\/one-person-company\/\">One Person Company<\/a><\/strong>.<\/span><\/span><\/span><\/p>\n<\/li>\n<\/ul>\n<p align=\"justify\"><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">2) <\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"><strong>Rule 10<\/strong> stipulates that in case of Articles contain entrenchment provisions, the company must notify the Registrar of any such entrenchment provisions at the time of incorporation of the company. Such notification is to be submitted in Form INC-7 or INC-32 (SPICe) along with the prescribed fee. It is important to note that rule regarding existing companies shall remain the <\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">same, with filing to be done in Form MGT- 14, within 30 days of the date of entrenchment of articles.<\/span><\/span><\/span><\/p>\n<ul>\n<li>\n<p align=\"justify\"><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"><b>I<\/b><\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"><b>NC-7:<\/b><\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"> A<\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">pplication form for incorporation of a company other than a one-person<strong><a href=\"https:\/\/www.legalraasta.com\/opc-registration\/\"> company<\/a><\/strong>.<\/span><\/span><\/span><\/p>\n<\/li>\n<\/ul>\n<p align=\"justify\"><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">3) <strong>Rule<\/strong><\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"><strong> 12:<\/strong> States that an application is to be filed with the registrar in Form 7 (Part I company with more than seven subsidiaries) and Form INC 32.<\/span><\/span><\/span><\/p>\n<p align=\"justify\"><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">4) <\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"><strong>Rule 38:<\/strong> This rule was introduced by the Companies Incorporation Fourth Amendment Rules, <\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">2016 unveiling the SPICe Rules. Further, the Fifth Amendment provided that in case of incorporation of Section 8 Company, Form INC-34 is to be filed, with Form INC-13 (MoA) and Form INC 31(AoA) as attachments.<\/span><\/span><\/span><\/p>\n<ul>\n<li><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"><b>INC-13<\/b><\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">: MoA<\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"> of Section 8 <\/span><\/span><\/span><strong><a href=\"https:\/\/companyregistrationonline.in\/\"><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">company registration<\/span><\/span><\/span><\/a><\/strong><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"> has been prescribed in form INC-13 by the companies act 2013 followed by rule 19 sub-rule 2 of <\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">companies incorporation rule 2014. <\/span><\/span><\/span><\/li>\n<li>\n<p align=\"justify\"><strong><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"><b>INC- 31:<\/b><\/span><\/span><\/span><\/strong><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"> Introduced to choose a pre-drafted Article of Association. <\/span><\/span><\/span><\/p>\n<\/li>\n<\/ul>\n<p align=\"justify\"><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">5) to go<\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"> digital and paperless, the Fifth Amendment Rule prescribes that a promoter\/applicant of the proposed company shall propose only <\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">o<\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">ne name in Form INC-32. <\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">Further, subscribers, witness, or witnesses shall affix their Digital Signatures to the <strong><a href=\"https:\/\/companyregistrationonline.in\/blog\/importance-memorandum-association-moa-article-association-aoa-company-registration\/\">MoA and AoA<\/a><\/strong>.<\/span><\/span><\/span><\/p>\n<p align=\"justify\"><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">6) <\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">Once a company adheres to such Rules for the incorporation, it shall furnish to the Registrar the verification details of its registered office within thirty days of its incorporation in the prescribed manner <\/span><\/span><\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">by filing Form INC-32. It is to be noted that if in case the proposed company maintains its registered office as the given corresponding address.<\/span><\/span><\/span><\/p>\n<h3 align=\"justify\"><strong><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\"><b>CONCLUSION<\/b><\/span><\/span><\/span><\/strong><\/h3>\n<p align=\"justify\"><span style=\"color: #000000;font-family: Liberation Serif, serif;font-size: medium\">It is observed that in cases where all the documents are in the correct place and the details in the SPICe form gets approved, the company shall be registered within 3 to 4 hours of filing the Form. Since the documents required for the process are extensive and the filing is to be done through the <a href=\"https:\/\/companyregistrationonline.in\/blog\/requirement-digital-signature-in-company\/\"><strong>Digital Signature Certificate<\/strong><\/a>, it is difficult to say that the process\u00a0will take only one day. <\/span><span style=\"color: #000000\"><span style=\"font-family: Liberation Serif, serif\"><span style=\"font-size: medium\">Since the Name Reservation involves a maximum chance of rejection, If the name you filed through the SPICe form gets rejected, all the incorporation documents are to be uploaded and submitted again for <strong><a href=\"https:\/\/companyregistrationonline.in\">Company Registration<\/a><\/strong>.<\/span><\/span><\/span><\/p>\n<blockquote>\n<p class=\"entry-title fusion-post-title\" data-lineheight=\"37\" data-fontsize=\"30\"><a href=\"https:\/\/www.legalraasta.com\/blog\/llp-better-private-limited-company\/\">Why LLP is better than Private Limited Company<\/a><\/p>\n<\/blockquote>\n","protected":false},"excerpt":{"rendered":"<p>The procedure for\u00a0company incorporation is provided under Section 7 of the Companies Act, 2013.
