A company whether it is a public or <strong><a href=\"https:\/\/companyregistrationonline.in\/blog\/private-limited-company\/\">private limited company<\/a><\/strong>, its name is considered as the identity. For <strong>changing the name of a company<\/strong>, you first have to get approval from the members in <a href=\"https:\/\/companyregistrationonline.in\/blog\/notice-annual-general-meeting\/\"><strong>general meeting<\/strong><\/a>. In the general meeting, A special resolution is required to be passed since the changing name of a Company involves amendments in the Memorandum of Association. It conveys a meeting of the Board of Directors to consider the need and reason for changing the name of the company. The name is valid for 60 days once it is approved by the ROC. It should be notified at least 21 days before the actual date of EGM.<\/p>\n<ul style=\"text-align: justify;\">\n<li>All the Directors.<\/li>\n<li>Members<\/li>\n<li>Auditors of Company<\/li>\n<\/ul>\n<p style=\"text-align: justify;\">The notice includes the designation, date, day, and time of the meeting and contains a statement on the business to transact at the EGM.<\/p>\n<h3 style=\"text-align: justify;\">Step 5: Holding of General Meeting<\/h3>\n<p style=\"text-align: justify;\">In this meeting, pass the following resolutions:<\/p>\n<ul style=\"text-align: justify;\">\n<li>Change of name of the company and certain amendments in the MOA of the Company as\u00a0<strong>S<\/strong>pecial Resolution<\/li>\n<li>Change of the main object of the Company and\u00a0certain amendments in the MOA of the Company as\u00a0Special Resolution<\/li>\n<li>Deletion of other object clauses of the MOA of the Company as\u00a0Special Resolution<\/li>\n<li>Amendment the liability clause of the MOA of the Company as\u00a0Special Resolution<\/li>\n<li>Adoption of a new set of AOA (Articles of Association) of the Company as\u00a0Special Resolution.<\/li>\n<\/ul>\n<h3 style=\"text-align: justify;\">Step 6: Filing forms with ROC<\/h3>\n<p style=\"text-align: justify;\"><a href=\"http:\/\/www.mca.gov.in\/MCA21\/dca\/help\/instructionkit\/NCA\/Form_MGT-14_help.pdf\"><strong>E-form MGT.14<\/strong><\/a><\/p>\n<p style=\"text-align: justify;\">The company requires to file a Special Resolution passed by shareholders for an alteration of MOA with concerned Registrar of Companies as per section 13(6). Prepare and file eForm No. MGT 14 within 30 days of the passing of Special resolution with the RoC. The following documents shall be filed as an attachment to the eForm No. MGT \u2013 14:<\/p>\n<ul style=\"text-align: justify;\">\n<li>Notice of extraordinary general meeting along with the explanatory statements;<\/li>\n<li>A certified true copy of Special resolutions;<\/li>\n<li>Altered <strong><a href=\"https:\/\/companyregistrationonline.in\/blog\/importance-memorandum-association-moa-article-association-aoa-company-registration\/\">Memorandum and Articles of Association<\/a><\/strong>;<\/li>\n<li>Minutes of the extraordinary general meeting;<\/li>\n<li>In case the extraordinary general meeting convenes on shorter notice, the Consent letter of shareholders should be there.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><strong>E-form INC-24<\/strong><\/p>\n<p style=\"text-align: justify;\">Prepare and file eForm No. INC \u2013 24. This should be done within 30 days of the passing of a Special resolution for obtaining approval of the Central Government for a changing name of a Company. The following documents shall be filed as an attachment to the eForm No. <strong><a href=\"http:\/\/www.mca.gov.in\/MCA21\/dca\/help\/instructionkit\/NCA\/Form_INC-24_help.pdf\">INC \u2013 24<\/a><\/strong>:<\/p>\n<ul style=\"text-align: justify;\">\n<li>Notice of extraordinary general meeting along with the explanatory statements<\/li>\n<li>A certified true copy of Special resolutions;<\/li>\n<li>Altered <strong><a href=\"https:\/\/companyregistrationonline.in\/blog\/importance-memorandum-association-moa-article-association-aoa-company-registration\/\">Memorandum and Articles of Association<\/a><\/strong>;<\/li>\n<li>Minutes of the extraordinary general meeting;<\/li>\n<li>In case the extraordinary general meeting convenes on shorter notice, the Consent letter of shareholders should be there.<\/li>\n<\/ul>\n<h3 style=\"text-align: justify;\">Step 7:\u00a0Issue of New Certificate<\/h3>\n<p style=\"text-align: justify;\">After completing the Above Procedure ROC
